Terms of service
The commitments we are willing to put in writing. These summarise the subscription agreement you would actually sign; where the two differ, the signed agreement governs.
1. What you are buying
A subscription to the Sellex modules listed on your order, for the branches listed on your order, delivered as a hosted service with your own isolated database. Unlimited tills, screens and user accounts within each branch. You provide the tablets, network and printers.
2. Billing and price lock
- Per branch, per month, in SAR, excluding VAT. Annual billing is 20% below twelve months at the monthly rate; monthly billing is at list price with no minimum term.
- Price lock. The rates on your order cannot rise for 24 months. Modules or branches added later are charged at their listed price — at the rates you signed, for the same 24 months.
- Cancellation. Monthly: cancel with effect from the end of any month. Annual: the subscription runs for its full term and is not refunded on early cancellation — the commitment is what the annual rate is priced against. Your data stays yours and exports in full either way.
- Onboarding fees are one-time and are refundable in full if we fail to get you live and you have not begun trading on the system.
3. Support and availability
These are commitments we hold ourselves to, in writing:

4. Your data is yours
- You own everything you and your customers put into the system. We claim no licence over it beyond running the service for you.
- You can export all of it at any time, in open formats, and we will produce a full database export on request, including after you cancel.
- We do not use your data to train anything, sell it, or share it with any delivery marketplace, payment processor or competitor.
- Storage location and sub-processors are set out in the privacy notice. Today that is the European Union, not the Kingdom — read that section before you sign.
5. Continuity — what happens if we stop trading
The system your business runs on should never depend on our continued goodwill. These protections sit in the signed agreement, not only on this page:
- A final full export of your database, in open formats, on demand and without payment of anything outstanding being a precondition.
- 90 days' written notice before the service is withdrawn, and no withdrawal during that notice.
- The database schema is documented, and your data is standard PostgreSQL — not a proprietary format that needs us to read it.
- Source-code escrow is available on request for multi-branch customers, with a defined trigger rather than a vague one: released on insolvency, on cessation of trading, or on failure to provide the service for 30 consecutive days. Ask for it; we will not talk you out of it.
6. What we do not warrant
Read this part twice — it is the part most vendors bury:
- Tax compliance is yours, not ours. The ZATCA Phase-1 QR is produced on every receipt from your first sale. Phase-2 (Fatoora) submission is delivered as part of your implementation, not on the day you sign — your order sets out the scope and the target date, and until it is complete Sellex does not sign or report Phase-2 invoices. If you are already Phase-2 integrated, keep your existing system as your system of record until we have confirmed yours is live with us. We do not warrant that using Sellex, by itself, makes you compliant: no vendor is "ZATCA certified", ZATCA's solution-provider directory states that listing is not an approval, and what is certified is your own taxpayer registration.
- Payroll is a worksheet, not a filing service. It calculates pay, prints payslips and exports a WPS bank file. It does not file GOSI, WPS or tax returns on your behalf and does not warrant statutory correctness. Your accountant remains your accountant.
7. Acceptable use
Do not resell the service, attempt to breach other tenants' isolation, or use it unlawfully. We may suspend for non-payment after written notice and a reasonable chance to fix it — and we will always let you export first.
8. Governing law and who you are contracting with
Saudi customers contract under the laws of the Kingdom of Saudi Arabia, with disputes heard in Riyadh. That is a commitment, not a preference — if we cannot offer it by the time you sign, we will tell you before you sign rather than leave it to the small print.
The contracting entity, its commercial registration number and its registered address are named in your subscription agreement, and we will put them in front of you on request before you sign — expect the same clarity from any vendor you are comparing us with.
Language. This page is published in Arabic and English for your convenience. Where the two differ, the English version governs this page — and the signed subscription agreement governs over both.
